Everest Transportation Systems Announcement

Candlewood Partners is pleased to announce its role as the exclusive financial advisor to Cambridge Capital’s portfolio company, Everest Transportation Systems (“ETS”), in securing a revolving credit facility to support the combination of ETS with Simple Logistics.

Everest is a freight brokerage firm, specializing in full truckload, drayage, intermodal, hazmat, expedited and volume partials, with a focus on stable, non-cyclical industries such as food and beverage. Simple Logistics is a well-established freight brokerage provider specializing in timely, efficient, complex, and service sensitive movement of refrigerated freight and dry van requirements for large customers.

The transaction includes an asset-based revolving credit facility that supported the combination with Simple Logistics and will provide for future working capital needs as the Everest platform continues to grow.  The facility was provided by Wintrust Bank.

Candlewood supported the Company and the Sponsor throughout the entirety of the process, including facilitating lender due diligence, structuring of the transaction, and negotiation of financing-related documentation.

“This transaction is representative of the continued partnership between Candlewood and Cambridge Capital” said Natan Milgrom, Managing Director of Candlewood Partners. “Working together with Cambridge on multiple transactions during the first half of 2025 has given us a lens into Cambridge’s value creation model within the supply chain industry. The combination of Simple and Everest is an exciting transaction that will position the Everest platform to capitalize on incremental growth opportunities, with the new revolving facility providing the working capital to support that growth.”

Matt Smalley, Principal at Cambridge Capital, said, “Candlewood Partners helped us achieve success in a complicated transaction with multiple existing financial stakeholders. Candlewood ensured that all parties felt comfortable with the final details and demonstrated strong leadership in managing multiple groups against a tight timeline, without pushing too hard. We are excited about ETS’s combination with Simple, and together with Wintrust as our new financial partner, enabled by Candlewood, we will be properly capitalized for the freight market upswing.”
