GC Companies is an independent sponsor interested in building a leading mission-critical services supplier to the United States government.
GC Companies partnered with a senior management team that previously built out AECOM’s defense contracting business to negotiate the acquisition of a selection of food supply contracts from a much larger contractor located in Dubai, and to ultimately administer those programs across Europe and the Middle East. The newly formed platform business was to be named “Valiant”.
Candlewood Partners was engaged to assist in negotiation of the contract purchase and evaluate various capitalization scenarios. Candlewood built a comprehensive transaction model that included detailed contract-level analysis used to establish the purchase price and working capital pegs, as well as to market the opportunity to senior debt and equity investors.
Additionally, Candlewood managed and advised GCC through a highly complex closing process that included novation of government contracts, extensive international operations and exposure, and detailed Transition Services Agreements and 3PL Contracts.
Post-closing, Candlewood continued its relationship with the platform business by providing treasury management and CFO-level services. Furthermore, Candlewood was charged with leading the integration of disparate finance and accounting functions operating in different countries.
